Kuehne+Nagel (K+N) has entered into a binding agreement to acquire Apex International Corporation (Apex), one of Asia’s leading freight forwarders, especially in the transpacific and intra-Asia.

The company was founded in China in 2001 and has expanded throughout Asia and beyond over the years of its growth history.

With approximately 1,600 employees, Apex generates yearly turnover in excess of CHF 2.1 billion. In 2020, the company handled total air freight volume of approximately 750,000 tons and sea freight volume of 190,000 TEU.

The acquisition is subject to customary closing conditions, including merger clearance by the competent competition authorities.

K+N said that the purchase price will be financed by available liquid sources and, if needed, by available credit lines. Following closing of the transaction, a minor stake of Apex shares is to remain with the experienced and entrepreneurial management of Apex. Furthermore, the company will then continue to operate separately within the Kuehne+Nagel Group.

At this point, both parties have agreed to not disclose any further transaction details.

David Kerstens of Jefferies Equity Research said: “The planned acquisition of Apex International in China will add 9% to Kuehne+Nagel’s revenues & increase Asia Pacific exposure from 11% to 19% of revenues.

“Based on an alleged enterprise value range of $1.5bn-$2.0bn, implying a takeover multiple of 14.6x FY20E EBITDA, we estimate EPS accretion at c.5%. The acquisition marks a large step towards fulfilling the ambitions in Asia, but we think expectations were higher, after earlier talk about transformative M&A.”

Jefferies added: “According to an article on Reuters last December, Apex was put up for sale by MBK Partners, a South Korean private equity firm, looking for a valuation of 12x-15x projected FY20E EBITDA of $120m, after a strong e-commerce driven revenue increase during the Covid-19 pandemic.

“Note that air freight forwarders benefited from higher yields, due to a lack of available air freight capacity (Ex. 1). A Reuters article following Kuehne+Nagel’s announcement this morning suggested an enterprise value in the range of $1.5bn-$2.0bn, implying a takeover multiple of 14.6x FY20E EBITDA, vs. 15.4x for Kuhne+Nagel. The companies have not commented on the article.”
